Our services are available to clients located in Malaysia. For matters involving cross-border elements, additional terms may apply and will be discussed during the engagement process.

4. Engagement Process

Submitting an enquiry through our website or contacting us by phone or email does not constitute a solicitor-client relationship. A formal engagement begins only when both parties sign a written engagement letter setting out the scope, timeline, and fee.

We reserve the right to decline an engagement at our discretion, including where a conflict of interest exists or where the matter falls outside our practice areas.

5. User Responsibilities

When using our website, you agree to provide accurate and truthful information in any forms or communications. You agree not to use the website for any unlawful purpose or in any manner that could damage, disable, or impair the website's functionality.

Legal documents prepared as part of an engagement (such as advisory reports, statutory declarations, or agreements) become the property of the client upon full payment of fees.

7. Fees and Payment

Fees for our services are published on our Solutions page and confirmed in the engagement letter. All fees are quoted in Malaysian Ringgit (MYR).

Payment is due as specified in the engagement letter, typically upon completion of the engagement or according to an agreed schedule for larger matters. We accept bank transfers and cheques.

Government filing fees, stamping fees, and Commissioner for Oaths charges are separate from our professional fees and will be charged at cost where applicable.

If payment is not received within 30 days of the invoice date, we reserve the right to suspend further work and charge interest at the rate permitted under Malaysian law.

8. Refund Policy

If you wish to terminate an engagement before completion, fees for work already performed will be charged on a pro-rata basis. Any unused portion of prepaid fees will be refunded within 30 days of termination.

Fees for completed services (such as statutory declarations that have been drafted and affirmed) are non-refundable.

9. Confidentiality

All information shared with us during the course of an engagement is subject to solicitor-client privilege and will be treated as confidential. We will not disclose your information to third parties without your consent, except where required by law or court order.

This confidentiality obligation survives the termination of the engagement and these terms.

10. Disclaimers

Nothing in these terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under Malaysian law.

12. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or disruption to telecommunications or power infrastructure.

13. Termination

Either party may terminate an engagement by giving written notice to the other party. Upon termination, you remain liable for fees incurred up to the date of termination.

We may also terminate access to our website at any time without notice if you breach these Terms and Conditions.

Sections relating to confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.

14. Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or in connection with these terms shall be subject to the jurisdiction of the courts of Malaysia.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through informal negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.

15. General Provisions

Entire Agreement: These Terms and Conditions, together with the applicable engagement letter, constitute the entire agreement between you and Argent Helm regarding the subject matter herein.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision of these terms shall not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these terms without our prior written consent.

16. Changes to These Terms

We may update these Terms and Conditions from time to time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
